1. PRICING AND PAYMENT POLICY

For the convenience of our paying members, InteriorMatch offers these payment plans:

1. Monthly Standard Membership (1-4 users)- $48 fee per month per designer and/or administrator, billed on the same date of each month depending upon when you placed your original order. There is no minimum length of commitment; you may cancel your membership at any time. This account will renew automatically each month on the same day. You must notify us via e-mail if you wish to discontinue service for any user before your membership renews in order to avoid billing of monthly fees to your credit card.

2. Discounted Monthly Standard Membership (5 or more users)- $43 per month per designer and/or administrator, billed on the same date of each month depending upon when you placed your original order. There is no minimum length of commitment; you may cancel your membership at any time. If your account drops below five users and stays below 5 users upon renewal, you will be billed at $48 per month per remaining users on the account. This account will renew automatically each month on the same day. You must notify us if you wish to discontinue service for any user before your membership renews in order to avoid billing of monthly fees to your credit card.

3. Consumer Membership – Our service is free to those consumers seeking interior design services who wish to participate by signing up and taking the personality test. You may have your information removed from our database at anytime by notifying us via telephone or e-mail.

Renewal of Membership: Your membership will renew automatically, unless you notify us by telephone or e-mail of your decision to terminate your membership. You must notify us before your membership renews in order to avoid billing of Monthly Fees to your credit card. Your account will be deleted from our system immediately and no additional charges will be added to your credit card. There will be no partial refunds. All prices are listed in U.S. dollars. You may use Visa, MasterCard, or American Express or Discover credit cards. We prefer that you pay online. If you are unwilling to do this you may contact us directly at 267-884-3826 to arrange payment. Your credit card on file will normally be charged on the date you placed your order.

You are granted as part of this license a limited, revocable, and nonexclusive right to create a hyperlink to the home page of InteriorMatch.com so long as the link does not portray InteriorMatch, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive manner and provided that you agree to cease such link upon request from InteriorMatch. You may use any InteriorMatch logo or other proprietary graphic or trademark as part of this license. By directing consumers to the web link through your own webpage, the results of the match will direct consumers to your registered design professionals ONLY. The link must be removed immediately from your website upon expiration of this Web License. This license fee is NON-REFUNDABLE.

2. MEMBERSHIP ELIGIBILITY

InteriorMatch membership eligibility requires that all users who participate employ or are currently employed as an interior designer or design professional or are consumers looking for interior design services. InteriorMatch offers a pay-for service that seeks to achieve professional matching between design professionals and potential clients. There are varying levels of design experience and abilities, and it is the responsibility of the consumer to become aware of the meanings of various accredited programs and work experience and discern the importance of these for their particular job.

3. E-MAIL ADDRESS USAGE

Your e-mail address may be provided as part of our service to participating designers or design firms or furniture stores with design consultants who end up in your results. The individual matched designers using the service will also have access to it. We ask for it simply to periodically assess customer service levels and to provide a means of communication. At anytime you may opt out of the service in which case your e-mail will be removed from our database.

4. TERMS AND CONDITIONS

InteriorMatch offers for a charge its online referral service program (the "Match Program") as a service to its participating designers (the "Designer") and persons interested in engaging a designer to perform interior design services ("Services").

As a condition to your use of the Match Program and as material inducement on the part of InteriorMatch to offer the Match Program, you expressly acknowledge and agree that:

Use of the Match Program is at your sole risk. InteriorMatch.com expressly disclaims any and all warranties of any kind, express or implied arising out of or relating to:

a) the Match Program

b) the Designers

c) the Services to be performed by any Designer.

- InteriorMatch.com, its Officers, Directors, Members and Employees shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages or other losses resulting from or relating in any manner to:

a) your use of the Match Program

b) the engagement by you of any Designer

c) any acts, negligence, breach of contract or other conduct engaged in by any Designer or by any of the Designer's agents, vendors, consultants and the like

d) any other matter relating to the Match Program.

- In no event will InteriorMatch’s liability to you for any reason whatsoever exceed in the aggregate the sum of $50.

- InteriorMatch does not provide, nor will it provide, any interior design service to or for you, nor is InteriorMatch a party to any agreement, which you may enter into with a Designer. If you engage the services of any Designer, all arrangements in such regard are solely between you and the concerned Designer.

- The laws of the State of Pennsylvania shall govern These Terms of Use.

- You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Pennsylvania for all purposes as between you and InteriorMatch hereunder.

- If any of the above Terms of Use are found by a court of competent jurisdiction to be invalid, all of the other provisions of the Terms of Use shall remain in full force and effect.

5. Copyright and Trademarks

The content included on this website, including, but not limited to the InteriorMatch tests, reports, text, graphics, logos, icons, and images is the exclusive property of InteriorMatch and other respective owners that have granted InteriorMatch the right and license to use such property and is protected by United States and international copyright laws. All trademarks, service marks, and trade names are proprietary to InteriorMatch or other respective owners that have granted InteriorMatch the right and license to use such marks. The InteriorMatch website contains copyrighted material, including, but not limited to: trademarks and other proprietary information, content, text, and graphics. Except as otherwise expressly permitted under copyright law, users may not copy, publish, redistribute, modify, transmit, display, sell, create derivative works, or in any way exploit the content or any portion of the InteriorMatch website without the express permission of the organization.

6. Disclaimers of Warranties

The products, offerings, content and materials (including, without limitation, the Fee-Based products and subscriptions) on this website are provided "as is" and without warranties of any kind, either express or implied. InteriorMatch disclaims all warranties, express or implied, including but not limited to warranties of title or implied warranties of merchantability, fitness for a particular purpose, title, security, accuracy or non-infringement. InteriorMatch does not conduct criminal background checks on its members.

Neither InteriorMatch, any of our affiliates, nor any of our or their respective licensors, licensees, service providers or suppliers warrant that this website or any function contained in this website will be uninterrupted or error-free, that defects will be corrected, or that this website or the servers that make this website available are free of viruses or other harmful components.

Neither InteriorMatch, any of our affiliates, nor any of our or their respective licensors, licensees, service providers or suppliers warrant or make any representations regarding the use or the results of the use of the products, offerings, content and materials (including, without limitation, the fee-based products) in this website in terms of their correctness, accuracy, reliability, or otherwise. Our failure to enforce your strict performance of any provision of these Terms & Conditions will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this policy. InteriorMatch LLC will not be responsible or liable to you for any delay or failure to perform under these Terms & Conditions if such delay or failure results from fire, explosion, labor dispute, earthquake, casualty or accident, lack or failure of transportation facilities and/or services, lack or failure of telecommunications facilities and/or services including Internet services, epidemic, flood, drought, or by reason of war, civil commotion, blockade or embargo, act of God, any inability to obtain any requisite license, permit or authorization, or by reason of any law, proclamation, regulation, ordinance, demand or requirement of any government or by reason of any other cause whatsoever, whether similar or dissimilar to those enumerated, beyond the reasonable control of InteriorMatch LLC.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

8. Miscellaneous Terms

InteriorMatch and the creators, producers, and distributors of the content disclaim any liability in connection with the advice, recommendations or products advertised on this site.

InteriorMatch LLC may assign our rights and obligations under this Agreement. This Agreement will inure to the benefit of our successors, assigns and licensees. The failure of either party to insist upon or enforce the strict performance of the other party with respect to any provision of this Agreement, or to exercise any right under this Agreement, will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision or right in that or any other instance; rather, the same will be and remain in full force and effect.

9. Entire Agreement

These Terms & Conditions represent the complete and entire agreement between InteriorMatch LLC and you and supersede all prior and contemporaneous agreements of the parties relating to the subject mater hereof. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. You acknowledge that you have read these Terms & Conditions and understand and agree to all of them in their entirety. You have independently evaluated the desirability of using InteriorMatch, and are not relying on any representation, guarantee, or statement other than as set forth in these Terms & Conditions.
